1. Introduction

These Terms of Service ("Terms") govern all wholesale transactions between Nithya Boutique ("Company," "we," "us") and buyers ("Buyer," "you") who purchase products through nithyaboutique.com or by direct written agreement. By placing an order with us, you accept these Terms in full.

2. About Us

Nithya Boutique is a rattan furniture manufacturer and wholesale exporter based in Medan, North Sumatra, Indonesia.

3. Wholesale Orders and Minimum Order Quantity

All orders placed with Nithya Boutique are for commercial and wholesale purposes. Our minimum order quantity (MOQ) is one (1) × 20-foot (20ft) container. Orders may combine multiple SKUs from our catalogue or consist of custom designs, provided the container is filled to capacity. We reserve the right to decline orders that do not meet MOQ requirements.

4. Pricing

All prices are quoted in United States Dollars (USD) and are FOB (Free On Board) Belawan Port, Medan, North Sumatra, Indonesia, unless otherwise agreed in writing. Prices do not include ocean freight, marine insurance, import duties, taxes, or any charges arising after the goods pass the ship's rail at the port of loading. Prices are subject to change without notice until an order is formally confirmed in writing by Nithya Boutique.

5. Order Confirmation

An order is confirmed only upon receipt of the required deposit payment (see Section 6) and written confirmation from Nithya Boutique. We reserve the right to accept or decline any order at our sole discretion. Orders for custom or OEM products additionally require written approval of design specifications and pre-production samples before a production run commences.

6. Payment Terms

Unless otherwise agreed in writing, payment terms are as follows:

30% deposit by bank transfer (Telegraphic Transfer / TT) in USD upon order confirmation.
70% balance by bank transfer (TT) in USD against presentation of the copy of the Bill of Lading (BL).

All bank charges, including correspondent and intermediary bank fees, are the responsibility of the Buyer. Goods will not be released for shipment until the balance payment has been received and cleared in full.

7. Production and Lead Times

Standard production lead time is six (6) weeks from the date of cleared deposit receipt. Lead times for custom or OEM orders may vary and will be confirmed at the time of order. Our factory capacity is approximately four (4) × 40-foot high-cube (40HC) containers per month. All lead times are estimates only and may be affected by factors outside our reasonable control, including raw material availability, force majeure events, public holidays, or port delays.

8. Samples

Pre-production samples are available upon request prior to committing to a full production run. Sample lead time is typically three to four (3–4) weeks from written confirmation of the design brief. Sample costs are quoted separately and may be credited in full against a subsequent confirmed production order. Full production will not commence without written sample approval from the Buyer.

9. Shipping and Delivery

All shipments are made FOB Belawan Port, Medan, North Sumatra, Indonesia. Risk of loss and damage transfers to the Buyer upon delivery of the goods to the nominated carrier at the port of loading. The Buyer is responsible for arranging ocean freight, marine insurance, and import clearance in the destination country. We will provide standard export documentation including a commercial invoice, packing list, and Bill of Lading. We are not liable for delays caused by carriers, port congestion, or customs processing in the destination country.

10. Product Descriptions and Quality

We manufacture using natural and synthetic rattan materials including Manau Sumatera, CL Rattan, Kubu Grey (Koboo Grey), Pulut, Fitrit (Rattan Core), Irit, and synthetic PE rattan on aluminium frames. Product colours, finishes, and dimensions shown on this website are indicative. Natural rattan materials exhibit inherent variation in colour, grain, and texture; these characteristics are not defects.

Quality inspection is carried out at our factory prior to loading. The Buyer has the right to appoint an independent third-party inspection agency to inspect goods before shipment at the Buyer's cost and with advance written notice. Once goods have been loaded and the Bill of Lading issued, Nithya Boutique is not liable for damage caused during transit.

11. Cancellations and Modifications

Orders may not be cancelled or materially modified after written confirmation and deposit payment without our prior written consent. In the event of a cancellation approved by us, the deposit payment is non-refundable. For custom or OEM orders, any costs incurred in design, tooling, materials procurement, or production prior to cancellation will be invoiced to and paid by the Buyer.

12. Intellectual Property

All designs, artwork, catalogues, photography, and content on this website are the intellectual property of Nithya Boutique and may not be reproduced without written permission. OEM and custom designs submitted by the Buyer remain the Buyer's intellectual property. The Buyer warrants that any designs, artwork, or specifications submitted to Nithya Boutique do not infringe any third-party intellectual property rights, and agrees to indemnify Nithya Boutique against any claims, costs, or damages arising from such infringement.

13. Ethical Sourcing and Compliance

Nithya Boutique is a SEDEX member and is committed to responsible, ethical, and sustainable business practices across our supply chain. We comply with applicable Indonesian employment, health and safety, and environmental legislation. The Buyer is solely responsible for compliance with all import regulations, product safety standards, labelling requirements, and applicable trade laws in the destination country.

14. Limitation of Liability

To the maximum extent permitted by applicable law, our total liability to the Buyer for any claim arising from or in connection with a transaction shall not exceed the invoice value of the goods in the order to which the claim relates. We are not liable for any indirect, consequential, incidental, special, or punitive damages, including but not limited to loss of profit, loss of business, or business interruption, whether or not we have been advised of the possibility of such damages.

15. Force Majeure

We are not liable for any delay or failure to perform our obligations under these Terms caused by events beyond our reasonable control, including but not limited to natural disasters, fire, flood, epidemics or pandemics, industrial disputes, war, terrorism, government or regulatory actions, port or border closures, or failure of third-party suppliers.

16. Privacy

Personal and business information collected in connection with orders is used solely to process, fulfil, and administer your order. We do not sell or share your information with third parties except where necessary to fulfil your order or comply with applicable legal obligations. 17. Changes to These Terms

We reserve the right to update these Terms of Service at any time by publishing a revised version on this website. The Terms in force at the time of written order confirmation govern that specific transaction.

18. Governing Law and Dispute Resolution

These Terms of Service and all transactions conducted through this website or by direct agreement with Nithya Boutique are governed exclusively by the laws of the Republic of Indonesia. Any dispute arising from or in connection with these Terms or any transaction hereunder that cannot be resolved by mutual written agreement shall be submitted to the exclusive jurisdiction of the courts of Medan, North Sumatra, Indonesia.
